INTRODUCTION TO NEW JERSEY COVENANT(S) NOT TO COMPETE
The attempt to use restrictive covenants to prevent someone from engaging in a competitive business has a long history. Limited restraints on competition which are no broader than reasonably necessary and which do not materially or adversely affect the public interest are generally enforceable in NJ.
Restrictive covenant(s) and covenant(s) not to compete are most often used by employers and purchaser(s) of NJ businesses to prevent a person or business from competing against them in the same industry, soliciting their customers or employees, or disclosing confidential information or trade secrets to competitors.
Restrictive covenants are most often fought over in the context of failed employment relationships.
Many of the most successful small and medium-sized businesses in NJ are founded on a strong relationship between two or more partners or shareholders.
